If customization is required, you shall provide detailed drawings or technical specifications (in English) and confirm the design with Hengwen in writing.<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">You shall promptly notify Hengwen of any changes to the above information. Hengwen shall not be liable for delays, additional costs, or order errors caused by incorrect, outdated, or incomplete information provided by you.<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<h3 class=\"ace-line\" dir=\"auto\" data-node=\"true\"><span data-leaf=\"true\"><span class=\"lb\">2.2 <\/span><\/span><span data-leaf=\"true\"><span class=\"lb\">Order Confirmation &amp; Payment<\/span><\/span><span data-leaf=\"true\"><span class=\"lb\">:<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/h3>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">After receiving Hengwen\u2019s quotation (valid for 7 business days unless stated otherwise), you must confirm the order details (Product specs, unit price, total amount, delivery time, incoterms) via a signed purchase order (PO) or written email (with official company signature\/estamp). Orders are only binding once confirmed by Hengwen\u2019s authorized representative (via email or signed document).<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">Payment shall be made in the agreed currency (e.g., USD, EUR, CNY) and method (e.g., T\/T, L\/C, Western Union). Unless otherwise agreed:<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line ol-idYHNCdbhe list-div list-start-number2\" dir=\"auto\" data-node=\"true\">\n<ol class=\"list-number2 r-list r-list-number\" start=\"1\" data-origin-start=\"1\" data-start=\"1\">\n<li data-start=\"a\"><span data-leaf=\"true\"><span class=\"lb\">For standard Products: A 30% advance payment is required to start production; the remaining 70% shall be paid before shipment (against scanned copies of shipping documents).<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ol>\n<\/div>\n<div class=\"ace-line ol-id6DZYh2aF list-div\" dir=\"auto\" data-node=\"true\">\n<ol class=\"list-number2 r-list r-list-number\" start=\"2\" data-origin-start=\"2\" data-start=\"2\">\n<li data-start=\"b\"><span data-leaf=\"true\"><span class=\"lb\">For customized Products: A 50% advance payment is required to cover raw material costs; the remaining 50% shall be paid before shipment.<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ol>\n<\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">Failure to pay on time will result in:<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line ol-idBgkQ5GzR list-div list-start-number2\" dir=\"auto\" data-node=\"true\">\n<ol class=\"list-number2 r-list r-list-number\" start=\"1\" data-origin-start=\"1\" data-start=\"1\">\n<li data-start=\"a\"><span data-leaf=\"true\"><span class=\"lb\">Delayed production\/delivery until payment is received;<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ol>\n<\/div>\n<div class=\"ace-line ol-id7UWd0d4y list-div\" dir=\"auto\" data-node=\"true\">\n<ol class=\"list-number2 r-list r-list-number\" start=\"2\" data-origin-start=\"2\" data-start=\"2\">\n<li data-start=\"b\"><span data-leaf=\"true\"><span class=\"lb\">Storage fees of 0.5% of the unpaid amount per day (charged if payment is overdue by more than 10 business days);<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ol>\n<\/div>\n<div class=\"ace-line ol-idFkbJEFVo list-div\" dir=\"auto\" data-node=\"true\">\n<ol class=\"list-number2 r-list r-list-number\" start=\"3\" data-origin-start=\"3\" data-start=\"3\">\n<li data-start=\"c\"><span data-leaf=\"true\"><span class=\"lb\">Cancellation of the order (with advance payment forfeited) if payment is overdue by more than 30 business days.<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ol>\n<\/div>\n<h3 class=\"ace-line\" dir=\"auto\" data-node=\"true\"><span data-leaf=\"true\"><span class=\"lb\">2.3 <\/span><\/span><span data-leaf=\"true\"><span class=\"lb\">Compliance with Laws &amp; Standards<\/span><\/span><span data-leaf=\"true\"><span class=\"lb\">:<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/h3>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">You shall use the Products in compliance with applicable laws, regulations, and industry standards in your jurisdiction, including but not limited to safety regulations (e.g., OSHA for mechanical parts), environmental protection laws (e.g., REACH for chemical resistance), and import\/export controls (e.g., customs declarations, import licenses).<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">You shall not use the Products for illegal purposes, including but not limited to manufacturing prohibited weapons, non-compliant engineering projects, or activities that violate international trade sanctions. Hengwen shall not be liable for any legal penalties, fines, or losses arising from your non-compliant use of the Products.<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<h2 class=\"ace-line heading-h2\" dir=\"auto\" data-node=\"true\"><span data-leaf=\"true\"><span class=\"lb\">3. Hengwen\u2019s Obligations<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/h2>\n<h3 class=\"ace-line\" dir=\"auto\" data-node=\"true\"><span data-leaf=\"true\"><span class=\"lb\">3.1 <\/span><\/span><span data-leaf=\"true\"><span class=\"lb\">Product Quality Guarantee<\/span><\/span><span data-leaf=\"true\"><span class=\"lb\">:<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/h3>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">All Products shall meet the agreed standards, including but not limited to international standards (e.g., ASTM, DIN, JIS), national standards (e.g., GB for China), or customer-specified technical requirements.<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">For each shipment, Hengwen will provide a Certificate of Quality (CoQ) containing: material composition (tested via spectrometry), mechanical properties (tensile strength, yield strength), dimensional inspection results, and surface finish verification. If required by you, we can arrange third-party inspection (e.g., SGS, BV) at your additional cost (payable in advance).<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">If Products are found to have quality defects (e.g., material non-conformity, dimensional deviation beyond tolerance, surface scratches) due to Hengwen\u2019s production or processing errors, we will, at your option:<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line ol-idnTDO2RJ7 list-div list-start-number2\" dir=\"auto\" data-node=\"true\">\n<ol class=\"list-number2 r-list r-list-number\" start=\"1\" data-origin-start=\"1\" data-start=\"1\">\n<li data-start=\"a\"><span data-leaf=\"true\"><span class=\"lb\">Replace the defective Products free of charge (including round-trip transportation costs);<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ol>\n<\/div>\n<div class=\"ace-line ol-idT9vFkVeU list-div\" dir=\"auto\" data-node=\"true\">\n<ol class=\"list-number2 r-list r-list-number\" start=\"2\" data-origin-start=\"2\" data-start=\"2\">\n<li data-start=\"b\"><span data-leaf=\"true\"><span class=\"lb\">Refund the full payment for the defective portion (within 10 business days of confirming the defect);<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ol>\n<\/div>\n<div class=\"ace-line ol-idJwMTJArd list-div\" dir=\"auto\" data-node=\"true\">\n<ol class=\"list-number2 r-list r-list-number\" start=\"3\" data-origin-start=\"3\" data-start=\"3\">\n<li data-start=\"c\"><span data-leaf=\"true\"><span class=\"lb\">Provide a 10-30% discount on the defective Products (if you agree to accept them).<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ol>\n<\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">Quality claims must be submitted within 15 business days of receiving the Products (with photos, test reports, or other evidence). Claims submitted after this period will not be accepted.<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<h3 class=\"ace-line\" dir=\"auto\" data-node=\"true\"><span data-leaf=\"true\"><span class=\"lb\">3.2 <\/span><\/span><span data-leaf=\"true\"><span class=\"lb\">Delivery Commitments<\/span><\/span><span data-leaf=\"true\"><span class=\"lb\">:<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/h3>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">Hengwen will arrange production and shipment in accordance with the agreed delivery time (stated in the order confirmation). Force Majeure<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/h2>\n<div class=\"ace-line\" dir=\"auto\" data-node=\"true\"><span data-leaf=\"true\"><span class=\"lb\">&#8220;Force Majeure&#8221; means events beyond the reasonable control of a party, which are unforeseeable, unavoidable, and insurmountable, including but not limited to:<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">Natural disasters (earthquakes, floods, typhoons, wildfires);<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">Human-made disasters (wars, riots, terrorist attacks, port strikes);<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">Government actions (bans, export controls, quarantine measures, currency restrictions);<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">Supply chain disruptions (raw material shortages, factory closures due to epidemics).<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line\" dir=\"auto\" data-node=\"true\"><span data-leaf=\"true\"><span class=\"lb\">If a party is unable to perform its obligations due to Force Majeure:<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">The party shall notify the other party in writing (email + signed document) within 48 hours;<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">Provide official evidence (e.g., government notices, logistics confirmations) within 15 business days;<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">Suspend performance of obligations during the Force Majeure period (no liability for breach);<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<div class=\"ace-line list-div\" dir=\"auto\" data-node=\"true\">\n<ul class=\"list-bullet1 r-list r-list-bullet\">\n<li><span data-leaf=\"true\"><span class=\"lb\">If Force Majeure lasts more than 100 days, either party may terminate the order by written notice (no further liability, except for payments already due and Products already delivered).<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/li>\n<\/ul>\n<\/div>\n<h2 class=\"ace-line heading-h2\" dir=\"auto\" data-node=\"true\"><span data-leaf=\"true\"><span class=\"lb\">8. Dispute Resolution<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/h2>\n<div class=\"ace-line\" dir=\"auto\" data-node=\"true\"><span data-leaf=\"true\"><span class=\"lb\">8.1 All disputes arising from these Terms or business cooperation (e.g., quality issues, payment disputes, delivery delays) shall first be resolved through friendly negotiation. The parties shall meet (via video conference or in person) within 30 days of the dispute arising and make good-faith efforts to reach an agreement.<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/div>\n<div class=\"ace-line\" dir=\"auto\" data-node=\"true\"><span data-leaf=\"true\"><span class=\"lb\">8.2 If negotiation fails, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Shanghai, China. The arbitration shall be conducted in English in accordance with CIETAC\u2019s arbitration rules (effective at the time of filing). The arbitration award shall be final and binding on both parties (enforceable in any country that is a party to the New York Convention).<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/div>\n<div class=\"ace-line\" dir=\"auto\" data-node=\"true\"><span data-leaf=\"true\"><span class=\"lb\">8.3 During the dispute resolution process, both parties shall continue to perform the non-disputed obligations (e.g., payment for delivered Products, provision of shipping documents) to avoid further losses.<\/span><\/span><span data-string=\"true\" data-enter=\"true\" data-leaf=\"true\">\u200b<\/span><\/div>\n<h2 class=\"ace-line heading-h2\" dir=\"auto\" data-node=\"true\"><span data-leaf=\"true\"><span class=\"lb\">9.
